By accessing or using the SHINES OS platform and related services provided by SHINES Creative LLC ("SHINES," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

If you choose to sign in using your Google account, you authorize us to access certain information from your Google profile as described in our Privacy Policy. You may revoke this access at any time through your Google Account permissions settings.
SHINES OS offers modular pricing. The Revenue Engine serves as the foundation module, with Operations and Delivery available as add-on modules. Pricing details are provided during the onboarding process.
Fees are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except as expressly stated in these Terms. We reserve the right to change pricing with 30 days' written notice.
If payment is not received by the due date, we may suspend access to the platform until the outstanding balance is resolved. A late fee of 1.5% per month may apply to overdue balances.
Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You acknowledge that:

You agree not to:
The SHINES OS platform, including its design, code, features, branding, documentation, and AI models, is the exclusive property of SHINES Creative LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights.
You retain ownership of all data and content you upload to the platform ("Your Content"). By using the service, you grant us a limited license to process, store, and display Your Content as necessary to provide the services. We will not use Your Content for purposes unrelated to service delivery without your consent.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to our data practices as described in the Privacy Policy, including our handling of Google API data as outlined therein.
SHINES OS operates an SMS messaging program ("Program") that sends text messages in two contexts:
(a) Platform messages to SHINES OS users. We send messages to users who have provided their phone number and consented to receive them. Message types include:
(b) Customer messages sent by business users. SHINES OS provides CRM tools that allow our business users to send messages to their own customers and leads who have opted in to receive messaging from that business. These message types include appointment confirmations, project and delivery updates, follow-ups, and promotional offers. SHINES Creative LLC acts as the messaging platform; each business user is responsible for obtaining consent from its own contacts.
For platform messages, you expressly consent to receive SMS from SHINES OS by checking the SMS consent box during signup or by providing your phone number to a SHINES OS representative. Consent is not a condition of purchase.
For customer messages sent through the CRM, each business user must confirm that it has obtained valid consent from its contacts before sending messages. Business users are solely responsible for obtaining and maintaining that consent in compliance with all applicable laws and carrier requirements.
Message frequency varies based on your activity and account settings.
Message and data rates may apply. Your mobile carrier may charge for messages sent and received. Contact your mobile carrier for details about your plan.
You can cancel the SMS Program at any time. Reply STOP to any message to unsubscribe. After replying STOP, you will receive one final message confirming you have been unsubscribed and will not receive any further messages. To rejoin, sign up again through our website or reply START.

The Program is available on most major U.S. mobile carriers, including AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, Virgin Mobile, and Cricket. Carriers are not liable for delayed or undelivered messages.
Phone numbers and SMS consent data are handled in accordance with our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
SMS delivery is provided through Twilio, our service provider, which processes phone numbers solely to deliver messages on our behalf.
You may request deletion of your account and associated data at any time by:
Upon receiving a valid deletion request, we will process it within 30 days. To revoke SHINES OS's access to your Google account data, visit your Google Account permissions. See our Privacy Policy for full details on data retention and deletion.
We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted access. Planned maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
To the maximum extent permitted by law, SHINES Creative LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the platform.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless SHINES Creative LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
You may cancel your account at any time by contacting us or through your account settings. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in conduct that we determine is harmful to the platform or other users. We will provide reasonable notice when possible.
Upon termination, your right to use the platform ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted. Google API data will be deleted within 30 days of termination or account disconnection.
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where SHINES Creative LLC is incorporated.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
We may revise these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance of the revised Terms.
